SignalBridge Partner Program Terms

1. Program Overview

The SignalBridge Partner Program ("Program") allows approved partners ("Partners") to earn recurring commissions by referring new paying customers to SignalBridge. By participating in the Program, you agree to these terms.

2. Eligibility

• You must be 18 years or older
• You must have a valid email address and payment account
• You must not be a current employee or contractor of SignalBridge
• Your application is subject to approval at our discretion
• We reserve the right to reject or terminate any partner at any time for violation of these terms

3. Commission Structure

Partners earn a percentage of net paid recurring subscription revenue after discounts and credits, excluding taxes and unrelated charges. Rates increase based on lifetime distinct paying customers referred:

Tier promotions are permanent, apply to the payment that crosses the threshold, and are not reduced by later refunds. Commissions are recurring — you earn on every payment the customer makes for the lifetime of their subscription.

4. Referral Tracking

• Referrals are tracked via your unique referral code appended as ?via=YOUR_CODE to any signalbridgedata.com URL
• Where required, a tracking cookie is stored only after marketing-cookie consent and lasts 90 days from the accepted first click
• The first positive paid invoice must occur within that 90-day window; zero-value invoices do not qualify
• Only the first referring partner gets credit (first-touch attribution)
• Self-referrals are not permitted and will result in commission reversal

5. Payouts

• Minimum payout threshold: $50 USD
• Commission hold period: 30 days (to account for refunds and chargebacks)
• Payout batches are prepared monthly and settled manually through your selected supported external method
• All amounts are in USD
• You are responsible for any taxes owed on commissions in your jurisdiction
• Payouts are not created until your payment details and required tax documentation have been reviewed and approved, or tax documentation has been marked not required

6. Tax Obligations

Each Partner is solely responsible for determining and fulfilling their own tax obligations related to commissions earned through this Program, including but not limited to:

• Income tax, value-added tax (VAT), goods and services tax (GST), or any other applicable taxes in your country, state, or jurisdiction
• Registering as self-employed, sole trader, or other applicable business entity as required by your local laws
• Filing any required tax returns and making timely tax payments
• Maintaining accurate records of all commissions received

SignalBridge does not provide tax advice. Before payment, you must provide accurate tax documentation or invoices requested through a secure channel. SignalBridge may delay payment, report payments, or withhold amounts where applicable law requires it. Missing documentation pauses payout eligibility but does not by itself forfeit valid earned commissions.

7. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination. Unsettled funds are frozen until an administrator records an audited release-or-forfeit decision:

• Self-referrals or referring your own accounts/businesses
• Using paid ads that bid on "SignalBridge" branded keywords
• Spam, unsolicited emails, or misleading marketing
• Impersonating SignalBridge or creating fake reviews
• Cookie stuffing, click fraud, or any form of manipulation
• Offering kickbacks or rebates to customers for signing up through your link
• Violating any applicable laws or regulations in your marketing activities

You must clearly and conspicuously disclose your financial relationship with SignalBridge wherever you endorse SignalBridge or publish a referral link. The disclosure must appear close to the endorsement or link and use language an ordinary reader will understand, such as "I may earn a commission if you buy through this link." You must make truthful claims based on your genuine experience and comply with applicable advertising, email, privacy, and consumer-protection laws.

8. Refunds & Chargebacks

Refunds and disputes reverse or offset the corresponding commission, including after maturity or payout. Reversals can create a negative balance that is offset against future earnings. The 30-day hold period reduces, but does not eliminate, this risk.

9. Program Changes

SignalBridge reserves the right to modify these terms, commission rates, or program structure at any time. Partners will be notified via email at least 14 days before any material changes take effect. Continued participation after changes constitutes acceptance.

10. Termination

Either party may terminate participation at any time. Suspension or termination stops new attribution, cancels pending payout reservations, and freezes unsettled funds while refunds, disputes, fraud, and policy violations are reviewed. SignalBridge records a separate audited decision to release valid funds for payout or forfeit amounts determined to be invalid, fraudulent, or prohibited. Forfeiture is never automatic, requires a written reason, and does not apply merely because tax documentation is missing. Processing payouts require manual reconciliation and are not silently cancelled or paid twice. SignalBridge may immediately suspend or terminate partners who violate these terms without prior notice.

11. Independent Relationship

Partners act as independent contractors and are not employees, agents, franchisees, joint venturers, or legal representatives of SignalBridge. You may not bind SignalBridge, negotiate on its behalf, or make guarantees about the service.

12. Intellectual Property

Partners may use SignalBridge logos and marketing materials provided in the partner portal for promotion purposes only. You may not modify our trademarks or use them in a way that suggests endorsement or partnership beyond the referral program.

13. Records, Privacy, and Other Terms

SignalBridge keeps attribution, commission, payout, tax-review status, and audit records for fraud prevention, accounting, dispute handling, and legal compliance under the Privacy Policy. These Program Terms supplement the SignalBridge Terms of Service. If they conflict on a Program-specific issue, these Program Terms control.

14. Limitation of Liability

SignalBridge's total liability under this agreement is limited to the commissions earned in the 3 months preceding any claim. We are not liable for indirect, incidental, or consequential damages.
